Rewild Labs Pvt Limited, a company incorporated under the Companies Act, 2013 (bearing company identification number U70200HR2022PTC102470), having its registered office at Y 165, REGENCY PARK II, DLF PHASE IV, Gurgaon, Haryana-122009 (hereinafter referred to as “Monter,” “we” or “us” (or derivatives)), is engaged in the business of providing an online marketplace to facilitate connections between organizations interested in listing their businesses for investment and/or acquisition and potential investors and/or buyers of such businesses.
The Privacy Policy (“Policy”) outlines our practices in relation to the collection, storage, usage, processing, and disclosure of personal information that you have consented to share with us when you access, use, or otherwise interact with our website available at https://www.monter.one/ (“Platform”) or avail products or services that Monter offers you on or through the Platform (collectively, the “Services”).
We are committed to protecting your personal information and respecting your privacy. In order to provide you with access to and use of the Services, we have to collect and otherwise process certain information about you. This Policy explains how we collect, process, share, and use personal information about you in relation to the Services provided on the Platform.
Please note that unless specifically defined in this Policy, capitalized terms shall have the same meaning ascribed to them in the respective terms and conditions (terms and conditions for Companies are available at https://www.monter.one/ and terms and conditions for Investors are available at https://www.monter.one/ (“Terms”) applicable to you. Please read this Policy in consonance with the Terms.
By accepting this Policy, you understand and agree to the collection, use, sharing, and processing of personal information as described herein. If you provide Monter with personal information about someone else, you confirm that: (a) such information is accurate and up-to-date; (b) such person is aware that you have provided their information; and (c) they consent to both, the disclosure and the use/processing of their information in accordance with this Policy. This Policy applies to all the current and former visitors, users, and others who access this Platform.
The terms of this Policy apply to you.
1. BACKGROUND AND KEY INFORMATION
  • How this Policy applies: This Policy applies to individuals who access or use the Services, such as points of contact of Companies and Investors, promoters or founders of listed businesses, and end-users of the Platform (“you”). In case you wish to avail of any or all of the Services provided by Monter on the Platform, Monter shall provide a username and password to you (“Login Credentials”) as set out in the Terms. You hereby explicitly agree that your use and access of the Login Credentials shall be governed by the Terms read with the terms of this Policy and any other agreement that you may enter into with Monter.
  • Please read the terms and conditions of this Policy carefully, before accessing or using the Platform: By accessing or using the Platform or using the Services, you consent to the collection, storage, usage, and disclosure of your personal information, as described in and collected by us in accordance with this Policy. If you are accepting this Policy on behalf of another person, you represent and warrant that you have full authority to bind such person to these terms.
  • Review and Updates: We regularly review and update this Policy, and we request you to regularly review this Policy. Monter will notify you at least once in a year, or whenever there is a change in the Policy, by email or by posting a conspicuous notice on the Platform regarding its then applicable data protection policies. The Policy shall come to effect from the date of such update, change or modification. It is recommended that you regularly check this Policy to apprise yourself of any updates. Your continued use of the Platform or provision of data or information thereafter will imply your unconditional acceptance of such updates to this Policy. It is important that the personal information we hold about you is accurate and current. Please let us know if your personal information changes during your relationship with us.
  • Third Party Services: Monter may engage third party vendors and/or contractors to deliver the Services to you and perform certain support services for Monter, including, without limitation, fulfilment of your requests, software maintenance services, advertising and marketing services, web hosting services and such other related services which are required by Monter to provide its Services efficiently. The Platform may include links to such third party websites, plug-ins, services, and applications (“Third Party Services”). Clicking on those links or enabling those connections may allow third parties to collect or share information about you. These third parties may have limited access to your information. If they do, this limited access is provided so that they may perform these tasks for Monter and they are not authorized by Monter to otherwise use or disclose your information, except to the extent required by law. We neither control nor endorse these Third Party Services and are not responsible for their privacy statements. Further, we do not make any representations concerning the privacy practices or policies or terms of use of such websites, nor do we control or guarantee the accuracy, integrity, or quality of the information, data, text, software, music, sound, photographs, graphics, videos, messages, or other materials available on such websites. The inclusion or exclusion does not imply any endorsement by Monter of the platform, the platform's provider, or the information on such a website. When you leave the Platform or access third party links through the Platform, we encourage you to read the privacy policy of such third party service providers.
2. PERSONAL INFORMATION THAT WE COLLECT
  1. We collect different types of personal information about you. Personal information is information that relates to a natural person, either directly or indirectly, or in combination with information that is available or likely to be available with us, is capable of identifying such a person. This includes, but is not limited to:
    • Contact Data: such as your mailing address, location, email addresses, and mobile numbers.
    • Identity and Profile Data: such as your name, username, or similar identifiers.
    • Marketing and Communications Data: such as your email address, information posted in service requests, offers, wants, feedback, comments, responses to user surveys and polls, your preferences in receiving marketing communications from us and our third parties, and your communication preferences.
    • Technical Data: which includes your IP address, browser type, internet service provider, details of the operating system, access time, page views, device ID, device type, frequency of visiting our website, and use of the Platform, website, and mobile application activity, clicks, date and time stamps, location data, and other technology on the devices that you use to access the Platform ("Technical Data”).
    • Usage Data: which includes information about how you use the Services, your activity on the Platform, user taps and clicks, user interests, time spent on the Platform, details about the user journey on the mobile application, and page views.
  2. We also collect, use, and share aggregated data such as statistical or demographic data for any purpose. Aggregated data could be derived from your personal information but is not considered personal information under law as it does not directly or indirectly reveal your identity. However, if we combine or connect aggregated data with your personal information so that it can directly or indirectly identify you, we treat the combined data as personal information that will be used in accordance with this Policy.
  3. What happens if I refuse to provide my personal information? Where we need to collect personal information by law, or under the terms of a contract (such as the Terms), and you fail to provide that information when requested, we may not be able to perform the contract (for example, to provide you with the Services). In this case, we may have to cancel or limit your access to the Services.
3. HOW DO WE COLLECT PERSONAL INFORMATION?

We use different methods to collect personal information from and about you, including through:

  1. Direct Interactions: You provide us your personal information when you interact with us. This includes personal information you provide when you:
    • create an account or Profile with us;
    • update or change personal details in your account;
    • use our Services or carry out other activities in connection with the Services;
    • enter a promotion, user poll, or online survey published by Monter on the Platform (if any);
    • request marketing communications to be sent to you;
    • report a problem with the Platform and/or our Services, give us feedback, or contact us; or
    • when you carry out transactions on the Platform.
  2. Automated technologies or interactions: Each time you visit the Platform or use the Services, we will automatically collect Technical Data about your equipment, browsing actions, and patterns. We collect this personal information by using cookies, web beacons, pixel tags, server logs, and other similar technologies. We may also receive Technical Data about you if you visit other websites or apps that employ our cookies.
  3. Billing Information: You are also required to provide your billing address as well as credit/debit card details which may be aligned with third-party payment wallets. For your convenience, Monter or a Monter-authorized payment gateway saves the billing information and remembers certain details of the payment choices made by you in the event you would like to carry out any other transaction on the Platform.
  4. Third parties or publicly available sources: We will receive personal information about you from various third parties:
    • Technical Data from analytics providers such as advertising networks;
    • Identity and Profile-related Data and Contact Data from publicly available sources;
    • Personal information about you from our affiliate entities; or
    • Personal information about you from business aggregators.

Monter may also collect non-personal information or usage data based on your browsing activity and in relation to your use or access of the Platform like your browser type, your Internet Protocol (IP) address, your operating system, your prior search results, etc., which may or may not be publicly accessible. Information collected by Monter from a particular browser or device may be used with another computer or device that is linked to the browser or device on which such information was collected.

You hereby acknowledge and agree that all information is provided by you to Monter voluntarily and the information provided by you is not subject to any undue influence.

You may use the Platform without providing Monter any information about yourself. However, you may not be able to access certain services of the Platform in case you choose to do so.

4. HOW DO WE USE YOUR PERSONAL INFORMATION?
  1. We will only use your personal information when the law allows us to. Most commonly, we will use your personal information where we need to provide you with the Services, or where we need to comply with a legal obligation. We use your personal information for the following purposes:
    • to verify your identity to register as Companies or Investors, as applicable, and create user accounts with us on the Platform;
    • to provide the Services to you;
    • to monitor trends and personalize your experience;
    • to improve the functionality of our Services based on the information and feedback we receive from you;
    • to improve customer service to effectively respond to your Service requests, resolve technical glitches, and support needs;
    • to send periodic notifications to manage our relationship with Companies and Investors including to notify them of changes to the Services, information and updates pertaining to the Services availed, and to send occasional company news and updates related to us or the Services;
    • to market and advertise the Services to you;
    • to comply with legal obligations;
    • to administer and protect our business and the Services, including for troubleshooting, data analysis, system testing, and performing internal operations;
    • to improve our business and delivery models;
    • to perform our obligations that arise out of the arrangement we are about to enter or have entered with you;
    • to communicate for business purposes in the course of providing the Services;
    • to enforce our Terms; and
    • to respond to court orders, establish or exercise our legal rights, or defend ourselves against legal claims.
  2. You agree and acknowledge that by using our Services and creating an account with us on the Platform, you authorize us and our affiliates to contact you via email, phone, or otherwise. This is to provide the Services to you and ensure that you are aware of all the features of the Services and for related purposes.
  3. You agree and acknowledge that any and all information pertaining to you, whether or not you directly provide it to us (via the Services or otherwise), including but not limited to personal correspondence such as emails, instructions from you, etc., may be collected, compiled, and shared by us in order to render the Services to you and for our internal business purposes such as data analysis, research, developing new products and/or features, enhancing and improving existing products and services, and identifying usage trends. This may include but not be limited to social media companies, third-party service providers, storage providers, data analytics providers, consultants, lawyers, and auditors. We may also share this information with other entities in the Monter group in connection with the above-mentioned purposes.
  4. Subject to and in accordance with applicable laws, Monter has the right to use your information for the purpose of conducting promotional/marketing-related activities on the Platform, including but not limited to, using your personal information for making posters/banners to promote the Services.
  5. You agree and acknowledge that we may share information without your consent when it is required by law or by any court, government agency, or authority to disclose such information. Such disclosures are made in good faith and belief that it is reasonably necessary to do so for enforcing this Policy or the Terms, or in order to comply with any applicable laws and regulations.
5. COOKIES
  1. Cookies are small files that a site or its service provider transfers to your device’s hard drive through your web browser (if you permit it) that enable the sites or service providers’ systems to recognize your browser and capture and remember certain information.
  2. We use cookies to help us distinguish you from other users of the Platform, understand and save your preferences for future visits, keep track of advertisements, and compile aggregate data about site traffic and site interaction so that we can offer you a seamless user experience. We may contact third-party service providers to assist us in better understanding our site visitors. These service providers are not permitted to use the information collected on our behalf except to help us conduct and improve our business.
  3. Additionally, you may encounter cookies or other similar devices on certain pages of the Platform that are placed by third parties. We do not control the use of cookies by third parties. If you send us personal correspondence, such as emails, or if other users or third parties send us correspondence about your activities or postings on the Platform, we may collect such information within a file specific to you.
  4. Session cookies are automatically deleted from your hard drive once a session ends, and most cookies are session cookies. If your browser permits, you may decline the cookies. However, if you decline the cookies, you may be unable to use certain features on the Platform and may be required to re-enter your password frequently. You may opt to leave the cookie turned on.
6. DISCLOSURES OF YOUR PERSONAL INFORMATION

Monter maintains your personal information in electronic form on its devices and on the equipment of Monter’s employees. The personal information is made accessible to employees, agents, or partners and third parties only on a need-to-know basis.

  1. Monter does not rent, sell, or share information with other people or with other non-affiliated entities, except with your consent. To provide the Services you have requested, Monter will be required to share your information with the following third parties:
    • Internal third parties, which are other companies within the Monter group of companies.
    • External third parties such as:
      • other users, in connection with the Services;
      • trusted third parties such as our associate partners, and service providers that provide services for us or on our behalf. This includes hosting and operating our Platform, providing marketing assistance, conducting our business, processing payments and transaction-related processes, transmitting content, and providing our Services to you;
      • analytic service providers and advertising networks that conduct web analytics for us to help us improve the Platform. These analytics providers may use cookies and other technologies to perform their services;
      • other registered users on our Platform upon your request or where you explicitly consent to such disclosure; and
      • regulators and other bodies, as required by law or regulation.
  2. Monter may rent, sell, or share non-personal or personal information in an aggregate form after it undergoes the process of de-identification and is no more identifiable to you, with any third party.
  3. We require all third parties to respect the security of your personal information and to treat it in accordance with the law. We do not allow our third-party service providers to use your personal information for their own purposes and only permit them to process your personal information for specified purposes and in accordance with our instructions.
7. YOUR RIGHTS IN RELATION TO YOUR PERSONAL INFORMATION
  1. Access and Updating your Personal Information: You have the right to withdraw your consent at any point, provided such withdrawal of the consent is intimated to Monter in writing through an email at https://www.monter.one/, requesting the same. You hereby warrant that all personal information that you provide us is accurate, up-to-date, and true. When you use our Services, we make best efforts to provide you with the ability to access and correct inaccurate or deficient data, subject to any legal requirements. If you, at any time, wish to rectify your personal information, you may write to Monter as per paragraph 7(c) of this Policy.
  2. Monter reserves the right to verify and authenticate your identity and your personal information and/or payment information in order to ensure accurate delivery of Services. Access to or correction, updating or deletion of your personal information including sensitive personal data or information (SPDI) (as the case may be) may be denied or limited by Monter if it would violate another person’s rights and/or is not otherwise permitted by applicable law.
  3. If you need to update or correct your personal information, you may send updates and corrections to Monter at https://www.monter.one/, citing the reason for such rectification of personal information. Monter will take all reasonable efforts to incorporate the changes within a reasonable period of time.
  4. Opting-out of Marketing and Promotional Communications: We send messages, e-mails, and calls relating to your registration, transactions that you carry out through the Platform and promotions that are undertaken by Monter. When we send you marketing and promotional content through short message service (SMS), email, etc., we make best efforts to provide you with the ability to opt-out of such communications by using the opt-out instructions provided in such emails. You understand and acknowledge that it may take us up to 30 (Thirty) business days to give effect to your opt-out request. Please note that we may still send you emails about your user account or any Services you have requested or received from us.
8. TRANSFER OF YOUR PERSONAL INFORMATION
  1. We comply with applicable laws in respect of storage and transfers of personal information. As a part of your use of the Services, the personal information you provide to us may be transferred to and stored in countries other than the country you are based in. This may happen if any of our servers are from time to time located in a country other than the one you are based in, or one of our service providers is located in a country other than the one you are based in.
  2. By submitting your information and personal information to us, you agree to the transfer, storage, and processing of such personal information in the manner described above.
9. DATA SECURITY
  1. We implement certain security measures and privacy-protective features on our Platform to protect your personal information from unauthorized access and disclosure and follow standards prescribed by applicable law.
  2. Where you have chosen a password that enables you to access certain parts of the Services, you are responsible for keeping this password secret and confidential. We will not be responsible for any unauthorized use of your information for any lost, stolen, or compromised passwords, or for any activity on your user account due to such unauthorized disclosure of your password. In the event your password has been compromised in any manner whatsoever, you should promptly notify us to enable us to initiate a change of password.
10. DATA RETENTION
  1. You agree and acknowledge that your personal information will continue to be stored and retained by us for as long as necessary to fulfill our stated purpose(s) and for a reasonable period after either the termination of your account on the Platform or access to the Services, whichever is later, to comply with our legal rights and obligations.
  2. In some circumstances, we may aggregate your personal information (so that it can no longer be associated with you) for research or statistical purposes, in which case we may use this information indefinitely without further notice to you.
11. BUSINESS TRANSITIONS

You are aware that in the event we go through a business transition, such as a merger, acquisition by another organization, or sale of all or a portion of our assets, your personal information might be among the assets transferred.

12. USER GENERATED INFORMATION
  1. We invite users to make available information related to their business on the Platform. Please note that such content may be available to visitors to our Platform.
  2. If a user decides to share business information with another user, such information will only be shared to the user’s profile. Monter makes no undertaking, representation, or warranty in this regard.
  3. We cannot prevent user-generated information from being used in a manner that is contrary to this Policy, applicable laws, or your personal privacy, and we disclaim all liability (express or implied) in this regard. Further, you agree to comply with all applicable laws in relation to the content uploaded or otherwise shared and received by you on our Platform. You understand and acknowledge that you will be solely responsible for any information published by you on our Platform that violates applicable laws.
13. MINOR AND USAGE ON BEHALF OF ANOTHER PERSON

Monter does not intend to attract anyone under the relevant age of consent to enter into binding legal contracts under the laws of their respective jurisdictions. Monter does not intentionally or knowingly collect personal information through the Platform from anyone under that age. Monter encourages parents and guardians to be involved in the online activities of minors to ensure that no personal information is collected from a minor without their prior consent. If you are using the Platform on behalf of someone else, you represent and warrant that you are authorised by such person to accept this Policy on their behalf and to consent on behalf of such person to Monter’s use of such person’s personal information as described in this Policy.

14. LIMITATION OF LIABILITY
  1. Monter shall not be liable to you for any loss of profit, production, anticipated savings, goodwill, or business opportunities or any type of direct or indirect, incidental, economic, compensatory, punitive, exemplary, or consequential losses arising out of performance or non-performance of its obligations under this Policy.
  2. Monter is not responsible for any actions or inactions of any third parties that receive your information.
  3. Notwithstanding anything contained in this Policy or elsewhere, Monter shall not be held responsible for any loss, damage, or misuse of your information, if such loss, damage, or misuse is attributable to a Force Majeure Event. The term “Force Majeure Event” shall mean any event that is beyond the reasonable control of Monter and shall include, without limitation, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes, lockouts or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, civil disturbances, unauthorized access to computer data and storage device, computer crashes, breach of security and encryption, pandemic or national/state lockdown due to any reason and any other similar events not within the control of Monter and which Monter is not able to overcome.
15. UPDATES TO THIS POLICY
  1. We may occasionally update this Policy. If we make changes to this Policy, we will upload the revised policy on the Platform or share it with you through other means, such as email. To the extent permitted under applicable law, by using our Platform after such notice, you consent to updates made to this Policy.
  2. We encourage you to periodically review this Policy for the latest information on our privacy practices.
16. GOVERNING LAW

This Policy shall be governed by, interpreted, and construed in accordance with the laws of India and, subject to the following, the courts of Haryana shall have exclusive jurisdiction. In the event of any dispute arising out of this Policy, the same shall be settled by a binding arbitration conducted by a sole arbitrator, appointed jointly by both parties, and governed by the Arbitration and Conciliation Act, 1996 as amended and updated from time to time. The venue and seat of arbitration shall be Haryana, India.

For registering your complaint, please write to the Grievance Officer at the above-mentioned email address in relation to any violation of the Policy or the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021. The Grievance Officer shall redress the complaint in accordance with the provisions of the Information Technology Act, 2000 and rules made thereunder.
